TERMS OF USE

Seamless Demo Supplemental Terms of Service

By using this Seamless demo (the “Demo”), you agree to be bound by Meta Platform Inc.’s Terms of Service (or, if you are accessing from the EU/EEA, Meta Platform Ireland Limited’s Terms of Service) (available at https://www.facebook.com/terms.php) (as may be updated from time to time, the “Terms of Service”), as supplemented by these Seamless Demo Supplemental Terms of Service (these “Supplemental Terms”). You acknowledge and agree that:

  1. The Demo uses artificial intelligence (“AI”) generated speech translation and transcription, developed by Meta, which collects an audio clip of you speaking in your chosen language (“Recordings”), transforms the audio clip into an embedding representing your speech, and then uses that embedding to generate speech and text translated into a different language (“Generated Recordings”) or transcribed into the same language. At this time, the Demo will collect your Recordings, but the Generated Recordings will not sound like you; the Generated Recordings will be in the voice of a pre-selected speaker that Meta has chosen.
  2. In the future, Meta may modify the Demo to generate recordings that sound like you (rather than a voice that is pre-selected by Meta). Meta may also (a) modify, disable, or discontinue the Demo and (b) add to or remove languages available for Generated Recordings; in each case, in Meta’s sole discretion and without notice to you. In the event a Generated Recording is removed from the Demo, the right to access such Generated Recording granted to you above will terminate.
  3. Subject to your compliance with the terms of these Supplemental Terms and the Terms of Service, Meta grants to you a limited, non-exclusive, non-sublicensable, non-transferable right to (a) access and use the Demo and (b) access the speech generated in a different language made available through the Demo, solely for your non-commercial and personal purposes.
  4. By submitting Recordings to the Demo, you represent and warrant that: (a) you are at least 18 years old (or the age of majority in the jurisdiction from which you are accessing the Demo); (b) you are not a resident of Illinois or Texas; (c) any Recordings you submit to the Demo is your original speech and does not include or otherwise incorporate speech from any other person(s); (d) you are the creator of the Recordings; (e) the Recordings do not contain any information that could be used to identify you or any other person(s) (such as your name, address or age); and (f) the Recordings do not contain statements that are offensive, defamatory, or otherwise unlawful, or in violation of any applicable regulations or laws.
  5. Meta may use your Recordings for (a) conducting the Demo and undertaking related research and analysis, which may involve editing, translating, labeling, modifying, anonymizing, or aggregating the Recordings; (b) authoring reports and papers and creating presentations regarding Meta’s research and product development activities; (c) developing, creating, improving, or providing commercial products or services; (d) conducting future research studies and related activities (such as validation and training of algorithms); and (e) performing other business obligations, such as fulfilling any compliance obligations.
  6. Generated Recordings are only made available through the Demo, and you agree neither to use nor attempt to use the Generated Recordings outside of the Demo or in any manner other than as expressly authorized herein. Meta and its licensors retain all rights in and to the Demo and the Generated Recordings that are not expressly granted herein. You retain all rights in and to your Recordings.
  7. You grant to Meta and its affiliates, and its and their representatives and designees, a perpetual, irrevocable, non-exclusive, sublicensable (through multiple tiers), transferable and royalty-free license to reproduce, host, distribute, perform and display (publicly or otherwise), modify, create derivative works of, and otherwise use (collectively, “Use”) the Recordings and Generated Recordings in connection with the Demo to improve the associated AI or software program(s), for research and for Meta’s internal business purposes.
  8. Because Meta will not associate Recordings or Generated Recordings with your name or any other personally identifiable information, you won’t be able to request deletion of submitted Recordings or the recordings we generate for you in another language. Please make sure that you are okay with how we will use the Recordings and Generated Recordings before you agree to these Supplemental Terms and grant to us the permissions included in these Supplemental Terms.
  9. You acknowledge that, due to the nature of AI and language translation, it is possible that the Generated Recordings generated by the Demo could contain translations of words you have spoken that are not accurate or otherwise change the meaning of the words you have spoken.
  10. In connection with your use of the Demo, you may provide input regarding the accuracy of the resulting Generated Recordings (“Feedback”). Because we will not associate your Feedback with your name or any other personally identifiable information, you won’t be able to request deletion of any Feedback that you submit.
  11. You hereby grant to Meta and its affiliates, and its and their representatives and designees, a perpetual, irrevocable, non-exclusive, sublicensable (through multiple tiers), transferable and royalty-free license to reproduce, host, distribute, perform and display (publicly or otherwise), modify, create derivative works of, and otherwise use (collectively, “Use”) the Feedback, including to improve the Demo, Generated Recordings, and/or the associated AI or software program(s), for research and for Meta’s internal business purposes. Meta has no obligation to Use any Feedback that you provide.
  12. The Demo is controlled or operated (or both) from the United States and is not intended to subject Meta to any non-U.S. jurisdiction or law. You must comply with all applicable laws, rules, and regulations in using the Demo. Meta may limit the availability of the Demo at any time, in whole or in part, to any person, geographic area or jurisdiction that Meta chooses.
  13. These Supplemental Terms are effective until terminated. Meta reserves the right to terminate your right to access and use the Demo, and your right to access the Generated Recordings, if you violate these Supplemental Terms or the Terms of Service. Further, Meta may terminate these Supplemental Terms in the event that it discontinues the Demo. Sections 4-16 will survive termination of these Supplemental Terms.
  14. The Demo and the Generated Recordings made available through the Demo are provided for entertainment purposes only. Meta makes no representations or warranties of any kind as to the adequacy, accuracy, currency, or completeness of the Demo, any Generated Recordings, or any other information or content made available through the Demo. Your use of the Demo is at your own risk. The Demo and the Generated Recordings made available through the Demo are provided “AS IS” without representations or warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement or other violation of rights. Meta expressly disclaims any liability for any errors or omissions in the Demo or the Generated Recordings. Some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
  15. In no event will Meta or its affiliates, or its or their directors, officers, employees, licensors, agents, and assigns, be liable for any indirect, special, incidental, consequential, or punitive damages, lost profits, or other non-direct damages whatsoever arising in connection with the use of the Demo, even if one or more of them has been advised of the possibility of such damages or loss. Without limiting the foregoing, the maximum aggregate liability for Meta or its affiliates, or its or their directors, officers, employees, licensors, agents and assigns, for all damages, losses and causes of action, whether in contract, tort (including negligence) or otherwise, shall be fifty dollars ($50).
  16. For any claim, cause of action, or dispute you have against us that arises out of or relates to these Supplemental Terms or the Demo (“Claim”), you agree that it will be resolved exclusively in the U.S. District Court for the Northern District of California or a state court located in San Mateo County. You also agree to submit to the personal jurisdiction of either of these courts for the purpose of litigating any such Claim, and that the laws of the State of California will govern these Supplemental Terms and any Claim, without regard to conflict of law provisions.
